General Terms and Conditions

1. The Contracting Parties, Basic Information

I.1. Service Provider

The Services are provided by the following entities:

The Service Provider operates internationally and may provide services directly or through affiliated entities, subcontractors, or partners, including entities established within and outside the European Union.

The applicable contracting entity depends on the nature of the service, the location of the Client, and the invoicing entity specified in the individual agreement.

The Client acknowledges that services may be provided by either entity or jointly, and agrees that the relevant contracting party will be specified in the individual agreement and invoice.

I.2. Clients

A Client is any natural or legal person who uses any service indicated by the Service Provider on the website www.luxellance.com (hereinafter: Website), including but not limited to:

  • online consultation
  • wedding-related consultation
  • concierge consultation
  • transfers
  • tours and accommodation
  • wedding, event, or concierge service mediation

as well as wedding and event decoration services, including but not limited to the design, rental, and provision of decoration items such as plates, glassware, fresh flowers, floral arrangements, centerpieces, bouquets, and the sale of bouquets for special occasions, including the use and rental of reusable silk flowers.

The Service Provider may act either as a direct service provider or as an intermediary between the Client and third-party service providers, depending on the nature of the requested service.

The services of the Website may be used by those Clients who accept these General Terms and Conditions (“GTC”). Please read these General Terms and Conditions carefully. By ordering services, the Client declares that they agree to all provisions of the GTC and consider them binding.

For the purposes of these General Terms and Conditions, Client means any natural or legal person acting in their own name or on behalf of an organization.

By accepting these General Terms and Conditions, the Client declares that they have the legal capacity to use the Service Provider’s services.

If the Client accepts the personalized cost calculation (offer) sent by the Service Provider, a service contract is concluded between the Parties.

The language of the contracts is English.

The contracts do not qualify as written contracts and are not filed, however, the Service Provider sends a confirmation email to the Client regarding the services used and the applicable individual conditions.

The contract between the Parties consists of:

  • the individual conditions communicated and accepted
  • and the provisions contained in these General Terms and Conditions

The Service Provider reserves the right to refuse service to any Client at its sole discretion.

 

II.2. Personal Data

The processing of the Clients’ personal data is carried out in accordance with applicable data protection laws, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation – GDPR) and Act CXII of 2011 on informational self-determination and freedom of information (hereinafter: Infotv.).

Data Controller(s)

For the purposes of applicable data protection laws, the Services may be provided by entities established within the European Union and in Thailand.

Accordingly, personal data may be processed by one or more of the Service Provider entities acting either as independent data controllers or, where applicable, as joint controllers.

Purpose of Data Processing

The Service Provider processes and stores the Clients’ personal data for the following purposes:

  • performance of the contract
  • communication with the Client
  • provision and organization of services
  • invoicing and compliance with legal obligations
  • and for the subsequent proof of the contractual relationship

Provision of Personal Data

During the use of certain functions of the Website, Clients are required to provide certain personal data.

The provision of such data is necessary for:

  • the proper use of the Website
  • maintaining contact
  • fulfilling orders
  • and performing the requested services

Failure to provide the required data may result in the inability to provide the requested services.

Legal Basis for Processing

The Service Provider processes personal data on the following legal bases:

  • performance of a contract (Article 6(1)(b) GDPR)
  • compliance with legal obligations (Article 6(1)(c) GDPR)
  • legitimate interests of the Service Provider (Article 6(1)(f) GDPR), such as business administration and service improvement

Data Security

The Service Provider handles personal data with a high level of security and implements appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.

Data Retention

Personal data is stored only for as long as necessary for the purposes for which it was collected, or as required by applicable laws.

International Data Transfers

Personal data may be transferred to and processed by affiliated or cooperating entities located outside the European Economic Area (EEA), including Thailand.

In such cases, the Service Provider ensures that appropriate safeguards are in place in accordance with the GDPR, including:

  • contractual arrangements
  • internal data protection policies
  • and, where applicable, Standard Contractual Clauses (SCCs)

Data Subject Rights

Clients have the following rights under the GDPR:

  • the right to access their personal data
  • the right to rectification
  • the right to erasure (“right to be forgotten”)
  • the right to restriction of processing
  • the right to data portability
  • the right to object to processing

Clients may exercise their rights by contacting the Service Provider using the contact details provided.

Right to Complaint

If a Client believes that their personal data has been processed unlawfully, they have the right to lodge a complaint with a supervisory authority, in particular in the EU Member State of their habitual residence, place of work, or place of the alleged infringement.

Acknowledgement

By using the Services, the Client acknowledges that their personal data may be processed and transferred internationally as described above.

III. Formation, Content, Performance and Termination of the Contract (FINAL VERSION)

III.1. Mediation of Wedding, Accommodation, Concierge and Decoration Services

If the Client wishes to order selected wedding, accommodation, concierge, or related services following an online consultation or otherwise, the Client shall specify the exact scope of the requested services to the Service Provider.

The Client may submit a request through the Website by completing the online form or by other means of communication.

 

Following receipt of the request, the Service Provider shall review the submitted information and may invite the Client to a free online consultation.

 

During the online consultation:

  • the Client’s needs, preferences, and budget are discussed
  • inspirations and concepts may be presented
  • potential service options may be outlined

 

Following the consultation, the Service Provider shall provide the Client with:

  • a personalized offer or cost estimate
  • available dates
  • and, where applicable, a service agreement and/or rental agreement

 

The Client acknowledges and accepts that:

  • any cost estimates or preliminary calculations are indicative only
  • they do not constitute a binding offer
  • final offers are based on availability and third-party service providers

 

The validity of any offer is 48 (forty-eight) hours, unless otherwise stated.

 

To secure the requested services, the Client shall:

  • accept the offer
  • sign the relevant agreement(s)
  • and pay the required deposit within 5 (five) days

 

If the Client fails to:

  • accept the offer
  • sign the agreements
  • or pay the required deposit within the specified deadline

 

the offer shall automatically expire without further obligation on the part of the Service Provider.For decoration services, rentals, or product orders submitted through the Website (e.g. bouquets or event items), the Client’s request shall be treated as an inquiry.

 

The Service Provider shall confirm availability and provide an offer via email or Whatsapp, including pricing, quantities, and delivery details.

 

The order becomes binding only after:

• written confirmation by the Client

• and receipt of payment

Delivery or collection details (including date, location, and method) shall be agreed between the Parties and confirmed in writing when receiving the offer.

Formation of Contract

The contract between the Parties is concluded upon:

  • payment of the required deposit, and
  • written confirmation sent by the Service Provider via email

Such confirmation also constitutes the commencement of the Service Provider’s performance.

Following this, the Service Provider shall begin the planning and organization process.

Intermediary Role

The Client acknowledges that the Service Provider acts primarily as an intermediary in relation to:

  • wedding services
  • accommodation
  • concierge services
  • tours, transfers, and related services

The actual services are provided by third-party professional service providers, including but not limited to:

  • hotels
  • villas
  • tour agencies
  • real estate companies
  • wedding vendors- HMUA-photographers etc
  • and other suppliers

The Client further acknowledges that:

  • contracts for such services are concluded directly between the Client and the relevant third-party providers
  • the Client is responsible for fulfilling all payment obligations towards such providers

The Service Provider is authorized by the Client to:

  • communicate with third-party providers
  • request offers
  • and accept offers on behalf of the Client

unless otherwise agreed.

Limitation Regarding Offers

The Service Provider shall not be held liable for the content of offers provided by third-party service providers, including but not limited to:

  • differences in dates or availability
  • changes in service level or conditions
  • limitations due to capacity or booking status

If an offer does not meet the Client’s preferences, the Client shall not be entitled to make any claim against the Service Provider.

➕ Decoration Services

In addition to intermediary services, the Service Provider may also provide wedding and event decoration services, including:

  • design
  • rental
  • and provision of decorative elements

including but not limited to:

  • plates
  • glassware
  • fresh flowers
  • floral arrangements
  • centerpieces
  • bouquets
  • and reusable silk flowers

Such services may be provided directly by the Service Provider or through subcontractors.

III.2. Additional Conditions and Termination

All modification requests, warranty claims, and complaints related to:

  • wedding services
  • accommodation
  • concierge services
  • and any other third-party services

must be addressed directly by the Client to the relevant third-party service provider.

Such claims shall not affect any fees already paid to the Service Provider, and the Client shall not be entitled to reclaim such fees, except as expressly stated in these General Terms and Conditions.

Intermediary Liability Exclusion

The Service Provider acts as an intermediary and shall not be held liable for:

  • the performance, quality, or availability of third-party services
  • any acts, omissions, delays, or failures of third-party providers

The Service Provider shall also not be liable for:

  • the Client’s failure to fulfill obligations
  • any damages caused by the Client to third parties

Payment Default

If the Client fails to pay the remaining service fees by the payment deadline indicated on the invoice, the relevant bookings may be cancelled by the Service Provider and/or the applicable third-party service providers.

 

In such case:

  • the deposit shall remain non-refundable
  • it shall be retained as a cancellation fee
  • the Client shall not be entitled to any refund or compensation

Late payment may result in loss of availability or price changes, for which the Service Provider shall not be held responsible.

Cancellation by the Client

If the Client wishes to cancel any service, they must notify:

  • the Service Provider
  • and the relevant third-party service providers

in a verifiable manner.

Settlement shall be governed by the terms of the respective third-party providers.

The Service Provider shall have no refund obligation, and the Client expressly accepts this.

Currency and Refunds

If payments are made in a currency different from that used by the relevant service provider, any:

  • exchange rate differences
  • bank fees
  • transfer costs

shall be borne by the Client and deducted from any refund.

Third-Party Terms

The Client acknowledges that services are also governed by:

  • the terms of third-party providers

and accepts those as binding.

The Service Provider may also provide wedding and event decoration services, including:

  • design
  • rental
  • floral arrangements
  • bouquets
  • reusable silk flowers

For decoration services:

  • all rented items remain the property of the Service Provider
  • the Client is responsible for proper use and return
  • damages or losses may be charged to the Client

The Service Provider shall not be liable for:

  • damages resulting from misuse
  • natural deterioration (e.g. fresh flowers)
  • third-party handling

 

III.3. Order Process

Initial Inquiry
The Client may submit a request through the Website by completing the online form or by other means of communication.
The Service Provider shall review the request and may contact the Client to request additional information and/or invite the Client to a free online consultation.Wedding and Concierge Consultation

 

During the online consultation:

• the Client’s needs, preferences, and budget are discussed 

• concepts and inspirations may be presented 

• potential services and options are outlined 

Offer and Agreement

Following the consultation, the Client shall receive via email:

• a personalized offer 

• available dates 

• and, where applicable, a service agreement and/or rental agreement 

The Client acknowledges that:

• preliminary discussions and estimates do not constitute a binding offer 

• final offers depend on availability and third-party service providers 

 

 

Acceptance and Payment

To secure the requested services, the Client shall:

• accept the offer 

• sign the relevant agreement(s) 

• and pay the required deposit by the payment deadline indicated on the invoice 

 

If the Client fails to complete the above steps within the specified deadline, the offer shall automatically expire without further obligation on the part of the Service Provider.

 

Commencement of Services

 

Upon receipt of the signed agreement and the required payment:

• the Service Provider begins planning and organization 

• third-party service providers may be contacted and booked 

• the service process continues accordingly 

Decoration, Rental and Product Orders

 

For decoration services, rentals, or product orders (including bouquets), requests submitted via the Website shall be treated as inquiries.

 

The Service Provider shall:

• confirm availability 

• and provide an offer via email or Whatsapp

 

The order becomes binding only after:

• written confirmation by the Client 

• and receipt of payment (via bank transfer or card payment through Stripe) 

 

 

The Service Provider shall perform its services on a best-effort basis and does not guarantee specific outcomes unless expressly agreed in writing.

V. Payment Terms and Order Processing

V.1. Payment Methods

The Client may settle the fees for the ordered services using the following payment methods:

Bank Transfer (European Union Services)

For services provided through the European Union-based entity, payment shall be made by bank transfer to the bank account specified in the invoice issued by the Service Provider.

Bank Transfer (Thailand-Based Services)

For services provided through the Thailand-based entity, payment shall be made by bank transfer to the Thai bank account specified in the invoice.

Card Payment (Stripe)

The Service Provider may offer the option of payment by credit or debit card via Stripe.

In such cases:

  • additional transaction fees may apply
  • such fees shall be clearly indicated in advance and/or on the invoice
  • the Client expressly accepts these additional costs when choosing card payment

Payments processed via Stripe are subject to:

  • Stripe’s own terms and conditions
  • and Stripe’s data processing policies

The Client acknowledges that:

  • payment processing is carried out by a third-party provider
  • the Service Provider is not responsible for Stripe’s operation, availability, or policies

Further details regarding data processing and legal terms related to Stripe are governed by Stripe’s own policies.

V.2. Payment Conditions

The total amount payable includes all agreed service fees unless otherwise stated.

Invoices shall be issued and sent to the Client via email within 5 (five) days following receipt of payment.

Any additional costs related to:

  • payment method selection
  • currency conversion
  • bank charges
  • or third-party processing fees

shall be borne by the Client and may be included in the final invoice.

V.3. Order Processing

Orders and payments are processed continuously and within the shortest possible time following receipt of payment.

In most cases, processing occurs within 1–2 hours, however delays may occur due to:

  • technical issues
  • banking delays
  • or third-party systems

 VI. Fees and Pricing

VI.1. Service Fees

The service fee for wedding planning and concierge services shall be the amount specified in the agreement sent to the Client following the consultation.

VI.2. Indicative Pricing and Third-Party Services

The fees indicated on the Website for:

  • wedding-related services
  • accommodation
  • concierge services
  • and related services

are indicative only and provided as general estimates.

The final price of such services is:

  • individually requested
  • based on third-party service providers selected by the Client
  • and mutually agreed upon by the Parties

The Service Provider shall:

  • obtain offers on behalf of the Client
  • present the available options
  • and, where authorized, proceed with bookings in the Client’s name

VI.3. Third-Party Pricing and Responsibility

The Client acknowledges that:

  • all third-party service providers determine their own pricing and contractual terms
  • such prices may change at any time
  • availability and pricing depend on capacity and market conditions

The Service Provider:

  • shall inform the Client of prices and conditions
  • but shall not be liable for any changes in pricing, availability, or conditions

VI.4. Reservation and Authorization

The Client authorizes the Service Provider to:

  • communicate with third-party providers
  • request and receive offers
  • and proceed with reservations on the Client’s behalf

➕ Decoration Services Pricing

Fees related to decoration services, including:

  • rental items
  • floral arrangements
  • bouquets
  • reusable silk flowers
  • and design services

are determined individually based on the Client’s request and specified in the relevant agreement or invoice.

➕ Currency and Price Fluctuation Protection

Prices may be affected by:

  • currency exchange fluctuations
  • third-party pricing changes
  • local taxes or fees

Such changes are outside the control of the Service Provider, and the Service Provider shall not be held liable for them.

➕ Right to Modify Pricing

The Service Provider reserves the right to modify pricing where necessary due to:

  • third-party changes
  • market conditions
  • or factors beyond its control

VII. Refusal of Service and Liability

VII.1. Refusal of Service

The Service Provider reserves the right to refuse any order or request at its sole discretion, without providing justification.

The Service Provider also reserves the right to refuse to provide services prior to their commencement.

In such cases:

  • any amounts already paid by the Client shall be refunded without undue delay
  • but no later than the next working day following notification

If the Service Provider is unable to perform its contractual obligations because the requested service cannot be provided, the Service Provider shall:

  • inform the Client without delay, but no later than within 5 (five) days, and
  • refund any amounts paid by the Client within 5 (five) days of such notification

⚖️ VII.2. Limitation of Liability

Client Responsibility for Provided Data

The Service Provider shall not be liable for any errors, delays, or damages arising from incorrect, incomplete, or inaccurate information provided by the Client.

Technical and System Limitations

The Service Provider shall not be liable for damages arising from:

  • failures of internet networks
  • malfunction of communication devices
  • software or system errors
  • payment system failures
  • or any other technical issues beyond its control

Use of Website

By using the Website, the Client acknowledges and accepts:

  • the limitations and risks associated with the use of the internet
  • that they are responsible for assessing risks related to browsing and purchasing
  • and for ensuring the security of their own devices and data

➕ Intermediary Liability

The Service Provider shall not be liable for:

  • the performance, quality, or availability of third-party service providers
  • any acts, omissions, or failures of such providers

All services provided by third parties are subject to separate agreements between the Client and those providers.

➕ Decoration Liability

In relation to decoration services, the Service Provider shall not be liable for:

  • damages arising from improper use, handling, or installation
  • damages caused by third parties
  • natural deterioration of materials (e.g. fresh flowers)

➕ Force Majeure

The Service Provider shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to:

  • natural disasters
  • weather conditions
  • pandemics
  • governmental restrictions
  • travel disruptions

➕ Financial Limitation

To the maximum extent permitted by applicable law, the total liability of the Service Provider shall be limited to the total amount of fees actually paid by the Client for the specific service.

Non-Excludable Liability

Nothing in these General Terms and Conditions shall exclude or limit liability for:

  • fraud or fraudulent misrepresentation
  • death or personal injury caused by negligence
  • or any liability which cannot be excluded under applicable law

IX. Right of Withdrawal and Cancellation

IX.1. Consumer Information

Certain Clients may qualify as consumers under applicable laws, including Hungarian law and EU regulations.

Consumers may have the right to withdraw from a contract without giving any reason within 14 (fourteen) days, subject to the conditions below.

The Client expressly acknowledges that the right of withdrawal does not apply, or may be lost, in the following cases:

  • services related to accommodation, transport, catering, or leisure activities (including weddings and events) where a specific date or period is agreed
  • where performance of the service has already begun with the Client’s prior express consent
  • where services are customized or tailored to the Client
  • where third-party services have already been booked or reserved

IX.3. Services Already Started

If the Client requests that the Service Provider begins performance before the withdrawal period expires:

  • the Client acknowledges that they may lose their right of withdrawal
  • the Client shall pay a proportionate fee for services already performed

IX.4. Intermediary Services

For services provided by third-party providers:

  • the Service Provider acts only as an intermediary
  • withdrawal and cancellation are subject to the terms of the relevant third-party provider
  • the Service Provider is not obliged to refund any amounts paid

IX.5. Deposits and Payments

Any deposits paid:

  • may be non-refundable
  • especially where services have been reserved or work has commenced

➕ IX.6. Decoration Services (IMPORTANT ADDITION)

For decoration services:

  • customized items (e.g. floral design, bouquets) are non-refundable
  • rental items must be returned in agreed condition
  • damages or losses may be charged

📌 X. Warranty (Kellékszavatosság – SIMPLIFIED & SAFE)

X.1. General Warranty

The Client may have warranty rights under applicable laws.

⚠️ LIMITATION (IMPORTANT FOR YOU)

The Service Provider shall only be liable for defects in services directly provided by it.

The Service Provider shall not be liable for defects in services provided by third-party providers.

X.2. Notification of Defects

The Client must notify any defect:

  • without undue delay
  • but no later than within 2 months of discovery

X.3. Time Limitation

Warranty claims may be enforced within:

  • 2 years from performance

X.4. Burden of Proof

After 6 months, the Client must prove that the defect existed at the time of performance.

XI. Intellectual Property and Complaints Handling

XI.1. Intellectual Property Rights

All content available on the Website(s), including but not limited to:

and any related materials, designs, texts, images, concepts, and databases are protected by copyright and other intellectual property laws.

The Client shall not:

  • copy, reproduce, distribute, or commercially exploit any content
  • store or process content electronically
  • modify, adapt, or reverse engineer any part of the Website

without the prior written consent of the Service Provider.

Any permitted use must include proper reference to the original source.

The Service Provider reserves all rights to:

  • its services
  • branding
  • and domain names

📌 XI.2. Complaints Handling

Clients may submit complaints regarding the Services via:

The Client may submit complaints:

  • in writing
  • or electronically

The Service Provider shall:

  • investigate complaints without undue delay
  • respond within 30 (thirty) days

➕ International Complaint Handling (IMPORTANT ADDITION)

Where the Client qualifies as a consumer under applicable laws, they may also have the right to seek resolution through consumer protection authorities or alternative dispute resolution bodies in their country of residence.

📌 Dispute Resolution

The Parties shall first attempt to resolve disputes through direct negotiation.

If no agreement is reached, the provisions of the Governing Law and Jurisdiction section shall apply.

➕ EU CONSUMER OPTION (SAFE VERSION)

Consumers within the European Union may have access to online dispute resolution platforms or local consumer protection bodies, in accordance with applicable laws.

X. Governing Law, Jurisdiction and Limitation of Liability

X.1. Governing Law

These General Terms and Conditions and any contractual relationship between the Parties shall be governed by and construed in accordance with the laws of Hungary, unless otherwise expressly agreed in writing.

Where the Services are provided by the Thailand-based entity, Thai law may apply to the extent required by mandatory legal provisions.

X.2. Jurisdiction

Any dispute, controversy, or claim arising out of or in connection with these General Terms and Conditions or the Services shall primarily be settled through amicable negotiations between the Parties.

If the Parties fail to resolve the dispute amicably, the dispute shall be submitted to the competent courts of Hungary, unless otherwise required by applicable mandatory laws.

The Service Provider reserves the right to initiate legal proceedings before:

  • the courts of the Client’s place of residence, or
  • the courts of the place where the Services were performed

at its sole discretion.

Nothing in this clause shall limit the rights of consumers under applicable consumer protection laws, including the right to bring proceedings in their country of residence where such rights are mandatorily provided by law.

⚖️ X.3. Limitation of Liability

To the fullest extent permitted by applicable law, the Service Provider excludes and limits its liability as follows:

General Limitation

The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

  • loss of profit
  • loss of business
  • loss of opportunity
  • reputational damage

arising out of or in connection with the use of its Services.

Intermediary Role

Where the Service Provider acts as an intermediary between the Client and third-party service providers (including but not limited to hotels, villas, tour operators, wedding vendors, and other suppliers), the Service Provider shall not be liable for:

  • the performance, quality, or availability of such services
  • any acts, omissions, or breaches of such third parties

The contractual relationship for such services is established directly between the Client and the relevant third-party provider.

Decoration Services

In relation to decoration services, including but not limited to:

  • rental items
  • glassware
  • floral arrangements
  • fresh or silk flowers
  • centerpieces and design elements

the Service Provider shall not be liable for:

  • damages arising from improper use, handling, transport, or installation
  • damages caused by third parties
  • natural deterioration of perishable items (such as fresh flowers)

All rented items remain the property of the Service Provider unless otherwise agreed in writing.

Force Majeure

The Service Provider shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters
  • weather conditions
  • pandemics
  • governmental restrictions
  • travel disruptions

Data and Technical Issues

The Service Provider shall not be liable for damages resulting from:

  • incorrect or incomplete data provided by the Client
  • technical failures of the internet or communication systems
  • software or payment system errors

Financial Limitation

To the extent permitted by law, the total liability of the Service Provider arising out of or in connection with any contract shall be limited to the total amount of fees actually paid by the Client to the Service Provider for the specific service.

Non-Excludable Liability

Nothing in these General Terms and Conditions shall exclude or limit liability for:

  • fraud or fraudulent misrepresentation
  • death or personal injury caused by negligence
  • any liability which cannot be excluded under applicable law
